Terms of Service

1. Who We Are
SparkBox is a guided business creation and business development service provided by SPARKBOXLIFE LLC, a Florida limited liability company, with a mission to support aspiring and existing business owners through branding, strategy, planning, and
coaching.

We are not a law firm, accounting firm, tax firm, or investment advisory firm. We provide educational, strategic, and creative services, not legal, tax, financial, or mental health services.

2. Who You Are (The Client)
“You,” “Client,” or “Customer” refers to the person or entity who:
● Visits or uses the website
● Purchases any SparkBox package or service
● Books coaching, consulting, or other Services
You represent that you are at least 18 years old and legally able to enter into this agreement.

3. Services Overview & What You’re Getting
SparkBox offers different levels of support and deliverables, including but not limited to:

● SparkBox Essential – brand and business foundation (concept, name, brand summary, logo, startup roadmap, strategy call, etc.).
● SparkBox Plus – everything in Essential, plus expanded strategy, business plan, marketing roadmap, tools, and additional coaching.
● SparkBox Pro – full business build, including brand, strategy, roadmap, website build (as specified), legal guidance support, tech stack recommendations, and ongoing coaching.
● SparkBox Business Services – standalone branding, strategy, marketing, website, and consulting services.
● Coaching & Consulting – one-on-one strategic and mindset support related to business and entrepreneurship.

Exact inclusions are defined on the website and/or your proposal/checkout page at the time of purchase.

Important: You are purchasing services and deliverables, not guaranteed results or income. We provide tools, strategy, assets, and guidance. You are responsible for implementing and operating your business.

4. No Guarantee of Results, Income, or Success
We love your dreams and your potential, but we cannot and do not guarantee:

● that your business will succeed
● that you will earn any specific amount of money
● that you will obtain clients, customers, or revenue
● that your business will avoid loss, failure, or closure.

 

Business involves risk. By using SparkBox Services, you agree that:
● You accept full responsibility for your decisions, actions, and results.

● SparkBox is not liable for your business performance, income, revenue, or outcomes, even if you implement our strategies or use our deliverables exactly as recommended.

Any examples, testimonials, or case studies are illustrative only and not a promise of what you will achieve.

5. No Legal, Tax, or Financial Advice
SparkBox may provide general guidance about:

● business structures (LLC, S-Corp, etc.)
● basic compliance steps (EIN, state registration, etc.)
● pricing, budgeting, or financial projections

However:
● We are not attorneys, accountants, tax professionals, or investment advisors.
● Nothing we provide should be considered legal, tax, accounting, or investment advice.
● You are strongly encouraged to consult with a licensed attorney, CPA, or financial professional for decisions in those areas.

 

By using SparkBox, you agree that:
● You will not treat any information provided by SparkBox as legal, tax, or financial advice.
● SparkBox is not responsible for your compliance with laws, regulations, or tax obligations.

6. Client Responsibilities
To get the most out of SparkBox, you agree that you are responsible for:
● Providing accurate, complete information during onboarding and throughout the project.
● Being responsive and available for scheduled calls and approvals.
● Making final decisions about your business, including pricing, offers, policies, and legal structure.
● Implementing the strategies, content, and action plans provided.

Failure to provide timely information or approvals may delay work; delays on your side do not entitle you to a refund.

7. Payment, Klarna & Other BNPL Options
Payment for Services is due as stated on the website, invoice, or checkout page. We may accept:

● Credit/debit cards
● Payment plan providers (e.g., Klarna or other BNPL providers)
● Direct invoices or other agreed methods

If you choose a third-party payment plan (such as Klarna):
● You enter into a separate agreement with that provider.
● Any disputes about payment terms, interest, fees, or approvals are between you and that provider.
● SparkBox is not responsible for BNPL decisions, approvals, denials, or terms, and we still receive payment for the Services as agreed.

 

You are responsible for paying your full balance, whether or not your business achieves your desired results.

8. Refunds & Cancellations
Because of the highly customized nature of SparkBox Services:
● All sales are generally final and non-refundable once work has begun.
● In some cases, at our sole discretion, we may offer partial credit or adjustments, but we are under no obligation to do so.

 

If you wish to cancel before work has started, contact us at hello@sparkbox.life as soon as possible. Any refund or credit will be determined solely by SparkBox based on time and work already invested.

9. Intellectual Property
Unless otherwise stated in writing:
● You own:
○ Your business name (once cleared and registered by you)
○ Your logo, brand assets, and copy we create specifically for your business, once final payment is made

● SparkBox retains:
○ All underlying frameworks, methodologies, templates, systems, and processes used to create your deliverables
○ The right to reuse and adapt non-identifying strategies, structures, and formats for other clients

You grant SparkBox permission to:
● Showcase anonymized versions of your project as portfolio examples, unless you expressly request otherwise in writing.
● Use your testimonial(s), with your approval, for marketing and promotional purposes.

10. Testimonials and Success Stories
Any testimonials, reviews, or success stories shared on our website, social media, or in our marketing materials reflect individual experiences.
● You understand that outcomes depend on your own actions, market conditions, and many factors outside SparkBox’s control.

11. No Employment, Partnership, or Joint Venture
Working with SparkBox does not create:
● an employer–employee relationship
● a partnership
● a joint venture
● or any agency relationship
We are an independent contractor providing Services. You are the owner/operator of your own business.

12. Limitation of Liability
To the fullest extent permitted by law:
● SparkBox, its owners, officers, contractors, and team members shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to:
○ your use or inability to use the Services
○ your business decisions or outcomes
○ loss of profits, revenue, opportunities, or data
○ business failure, shutdown, or debts

SparkBox’s total liability for any claim related to the Services shall not exceed the total amount you paid to SparkBox for those specific Services. You agree that you will not hold SparkBox responsible for:
● business performance or failure
● customer behavior or response
● platform changes, algorithm shifts, or industry changes
● legal, regulatory, or economic events impacting your business

13. Indemnification
You agree to indemnify, defend, and hold harmless SparkBox, its owners, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising out of or related to:
● your use of the Services
● your business operations, offerings, or conduct
● your violation of any law or regulation
● your violation of these Terms

14. Confidentiality
We respect your privacy and business ideas.
● We will not sell or share your confidential information (strategies, financials, personal details) with third parties, except:
○ as needed to provide the Services (e.g., with contractors under similar confidentiality obligations), or
○ as required by law.

You agree not to share, resell, or distribute any proprietary SparkBox materials, frameworks, or internal training outside your own business without written permission.

15. Technology & Third-Party Tools
SparkBox may recommend or set up tools such as:
● website platforms
● email providers
● CRMs
● scheduling tools
● BNPL providers like Klarna
 

These are separate companies with their own terms and policies. SparkBox is:

● Not responsible for outages, data loss, security breaches, platform changes, or service interruptions of any third-party tools.
● Not responsible for any fees or terms imposed by those tools.

 

You are responsible for reviewing and agreeing to any third-party terms you choose to use.

16. Changes to Services and Pricing
We reserve the right to:
● Modify, pause, or discontinue any Service
● Update pricing, package inclusions, or features
● Adjust available tiers or options

Changes will not retroactively alter Services you’ve already purchased, but may affect future purchases.

17. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles.
In the event of a dispute:
1. We both agree to first attempt to resolve it informally and in good faith.
2. If we cannot resolve the dispute informally, we agree to pursue mediation in Brevard County, Florida, before considering any other legal remedies.
3. If the dispute is still unresolved, any legal action shall be brought exclusively in the state or federal courts located in Brevard county, Florida, and you consent to that jurisdiction.

18. Termination
SparkBox may terminate or suspend your access to the Services at any time, including for:
● breach of these Terms
● abusive or inappropriate behavior
● misuse of Services or assets
You may also choose to terminate your engagement with SparkBox; however, any fees already paid are generally non-refundable as outlined above.

19. Updates to These Terms
We may update these Terms from time to time. When we do:
● We’ll update the “Last updated” date at the top of this page.
● Your continued use of the Services after changes are posted constitutes acceptance of the new Terms.
